1. Agreement to Terms

By accessing or using Verbalab ("Services", "Platform", "we", "us", "our"), you agree to be bound by these Terms and Conditions ("Terms", "Agreement"). If you disagree with any part of these Terms, you may not access the Services.

These Terms constitute a legally binding agreement between you (the "User", "Customer", "you") and Verbalab.

These Terms cover both surfaces of the Platform: the customer panel at app.verbalab.ai and the interview surface where survey respondents answer at survey.verbalab.ai.

2. Early Access Notice

CRITICAL EARLY ACCESS DISCLAIMER

Verbalab is currently in EARLY ACCESS (development/testing phase). This is NOT a production-ready service. By using the Services during early access, you explicitly acknowledge and accept:

  • The service is experimental and under active development
  • Features may not work as expected or may fail completely
  • Data loss, corruption, or unavailability may occur
  • Service may be discontinued at any time without notice
  • No guarantees of uptime, performance, or reliability
  • Research is planned, written, fielded, and interpreted by an AI research agent, and its output may contain errors
  • You use the early-access service entirely at your own risk
  • You should NOT rely on early-access services for decisions you cannot reverse
  • You MUST keep your own copies of briefs, questionnaires, and deliverables that matter to you
  • Service features and terms may change significantly before general availability (GA) launch

USE OF EARLY-ACCESS SERVICES FOR MISSION-CRITICAL OR IRREVERSIBLE BUSINESS DECISIONS IS STRONGLY DISCOURAGED AND IS AT YOUR SOLE RISK.

Early Access Special Conditions

During early access:

  • Service availability targets do not apply (see Section 10)
  • There are no published prices and no subscription tiers; commercial terms are agreed per study (see Section 6)
  • Liability limits are reduced to fees actually paid with no minimum guarantee (see Section 11)
  • Features may be added, modified, or removed without prior notice
  • Questionnaire logic, screening rules, and reporting formats may change between studies
  • We reserve the right to reset, migrate, or modify data for testing and development purposes (with reasonable notice)

3. Definitions

Response RecordThe append-only record of answers collected in a study; a superseded answer remains in history rather than being overwritten
Early AccessThe current development/testing period before general availability (GA) launch

4. Account Registration & Security

Eligibility

To use Verbalab, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Provide accurate and complete registration information
  • Maintain and update your account information
  • Not be prohibited from using the Services under applicable law

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account, including studies started and fieldwork launched from it
  • Immediately notifying us of any unauthorized access or security breach
  • Using strong, unique passwords and enabling two-factor authentication (when available)

We are not liable for any loss or damage arising from your failure to maintain account security.

Business Accounts

If you register a business account:

  • You represent that you have authority to bind the business to these Terms
  • The business entity is the legal account holder and the Sponsor of studies run from the account
  • You agree to keep business registration information current

Respondents

Respondents do not register an account to take part. They answer at survey.verbalab.ai through the interview link provided for the study, and these Terms govern the Platform they are answering on.

5. How a Study Runs

The Engagement

A study runs through the Services as follows:

  • You submit a brief in the customer panel at app.verbalab.ai
  • The AI research agent plans the study from that brief
  • The agent writes the questionnaire for the planned study
  • The agent runs the field, collecting responses at survey.verbalab.ai
  • The agent reads the results into findings, which you review in the panel

Where you supply your own contact list or sample context for a study:

  • That data reaches Verbalab in cryptographically signed form
  • You remain responsible for it, including for the legal grounds on which it was collected and shared (see Section 8)
  • We process it for the study it was supplied for

What Respondents Experience

So that you know what your questionnaire will do in the field:

  • Respondents answer one question per screen at survey.verbalab.ai
  • An interview can be resumed if it is interrupted
  • Screening decisions carry disposition codes, so a respondent who does not qualify for a study is recorded with the reason
  • Quality flags mark suspicious records for review rather than silently deleting them

The Response Record

Answers are stored in an append-only record. If a respondent changes an answer, the new answer is added and the superseded answer stays in history. Corrections therefore add to the record; they do not erase what was there before.

We do not sell respondent data.

6. Commercial Terms During Early Access

No Published Prices

During early access, Verbalab does not publish prices, offer free-trial periods, or operate named subscription tiers.

Commercial terms are agreed per study. The scope, deliverables, and any fees for a study are those set out in the written engagement terms agreed between you and Verbalab for that study.

What This Means

  • There is no self-service checkout and no automatic renewal in the panel
  • There is no plan to upgrade or downgrade, and no plan-based feature gating to rely on
  • Nothing on the Platform or the website constitutes a price quotation until it is confirmed in the engagement terms for a study
  • Terms agreed for one study do not carry over to the next study unless the engagement terms say so

Changes at General Availability

Commercial terms, including any pricing model, will be established at general availability (GA) launch. We will not apply GA commercial terms retroactively to a study whose engagement terms are already agreed.

7. Fees, Invoicing & Taxes

Fees

Any fees payable for a study, the currency, and the payment schedule are those stated in the engagement terms agreed for that study. Where no fees are agreed, no fees are payable.

Invoicing

Where fees are agreed:

  • We invoice according to the schedule in the engagement terms
  • Invoices are sent to the billing contact you designate
  • Amounts are payable by the due date stated on the invoice

Taxes

  • Amounts may be subject to applicable taxes (VAT, GST, sales tax, etc.)
  • Taxes are determined by your billing address and applicable law
  • Invoices show itemized taxes where applicable

No Card Details in the Panel

The customer panel does not collect or store payment card details. Do not enter card numbers into briefs, questionnaires, or any other free-text field on the Platform.

8. Data Ownership & Controller/Processor Relationship

Your Data Ownership

You retain full ownership of all Study Data. This includes:

  • Your briefs and the research questions in them
  • Contact lists and sample context you supply
  • Questionnaires produced for your studies
  • Responses collected for your studies
  • Findings and reports generated for your studies

Verbalab's Data Rights

We do not claim ownership of your Study Data. However, you grant us a limited license to:

  • Store, process, and display your data to provide the Services
  • Create backups for disaster recovery
  • Use aggregated, anonymized data for service improvement and analytics
  • Access your data for customer support when you request assistance

We will never sell your data to third parties, and we do not sell respondent data.

Data Controller vs. Data Processor

Understanding Your Data Responsibilities

For data ABOUT YOU (account holder):

  • Verbalab is the Data Controller
  • This includes your registration info, billing contact details, usage logs
  • Our Privacy Policy governs this data

For SPONSOR-SUPPLIED DATA (contact lists and sample context you provide) and the responses collected for your studies:

  • YOU are the Data Controller
  • Verbalab is the Data Processor
  • You are responsible for GDPR and other data protection compliance
  • Sponsor-supplied data reaches us in cryptographically signed form, and the Sponsor remains responsible for it

Your Responsibilities as Data Controller

When you supply data about third parties, or commission fieldwork that collects it:

You must:

  • Comply with GDPR and all applicable data protection laws in your jurisdiction
  • Have a lawful basis for collecting the contact list or sample context you supply, and for having it used to invite people to a study
  • Inform those individuals about data processing and obtain necessary consents
  • Respond to data subject requests (access, deletion, rectification) that reach you directly
  • Notify Verbalab if a data breach involving your supplied data occurs
  • Maintain your own privacy policy informing third parties about your use of Verbalab

Verbalab will:

  • Process your study data only as instructed through your use of the Services
  • Implement appropriate technical and organizational security measures
  • Assist with data subject requests when reasonably possible
  • Notify you of any data breaches affecting your study data
  • Not use your study data for our own purposes beyond what is described in these Terms

Verbalab will NOT:

  • Be responsible for your compliance with data protection laws regarding data you supply
  • Have any commercial relationship with the individuals on a list you supply
  • Be liable for your failure to obtain proper consents or comply with data protection obligations

Deletion and the Append-Only Record

Because the response record is append-only, correcting an answer adds a new entry and leaves the superseded answer in history. Requests to erase records are handled as deletions of the record, not as rewrites of its history. Send such requests to [email protected].

Data Processing Agreement (DPA)

If your organization requires a formal Data Processing Agreement under GDPR Article 28, contact us at [email protected].

9. Acceptable Use Policy

Permitted Uses

You may use Verbalab for lawful research purposes, including:

  • Commissioning market research studies from a brief
  • Fielding questionnaires to respondents and collecting their answers
  • Reviewing findings and reports produced from those answers
  • Supplying your own contact list or sample context for a study you sponsor

Prohibited Uses

You may NOT use Verbalab to:

Illegal Activities:

  • Violate any applicable laws, regulations, or third-party rights
  • Field a questionnaire to people whose contact details you had no lawful basis to use
  • Collect data that applicable law forbids you to collect

Research Misuse:

  • Sell, market, canvass, or fundraise under the guise of research
  • Attempt to re-identify individual respondents, or to combine study output with other data in order to do so
  • Contact respondents outside the study, or use response data to build a marketing list
  • Present findings as Verbalab's endorsement of a product, claim, or party
  • Materially misrepresent a study's sponsor, purpose, or subject in the brief

Harmful Conduct:

  • Upload malware, viruses, or malicious code
  • Attempt to gain unauthorized access to our systems, other user accounts, or the interview surface
  • Interfere with the proper functioning of the Services, including submitting automated or fraudulent responses
  • Conduct security testing without prior written authorization

Abusive Behavior:

  • Harass, threaten, or abuse Verbalab staff, other users, or respondents
  • Use the Services to send spam or unsolicited communications
  • Impersonate another person or entity

Terms Violation:

  • Share your account credentials with others
  • Create multiple accounts to circumvent limits or restrictions
  • Scrape, crawl, or data mine the Platform without permission
  • Reverse engineer, decompile, or attempt to extract source code, model prompts, or methodology internals

Consequences of Violation

If you violate the Acceptable Use Policy:

  • We may suspend or terminate your account immediately
  • We may stop fieldwork on a study in progress
  • You may be liable for damages caused by your violations
  • We may report illegal activities to law enforcement
  • Any fees already paid remain payable

10. Warranties & Disclaimers

Service Availability

We strive to provide reliable Services with minimal downtime. However, the Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind.

CRITICAL EARLY ACCESS DISCLAIMER

Verbalab is currently in EARLY ACCESS (development/testing phase). This is NOT a production-ready service. By using the Services during early access, you explicitly acknowledge and accept:

  • The service is experimental and under active development
  • Features may not work as expected or may fail completely
  • Data loss, corruption, or unavailability may occur
  • Service may be discontinued at any time
  • No guarantees of uptime, performance, or reliability
  • Questionnaires and findings are produced by an AI research agent and may contain errors
  • You use the early-access service entirely at your own risk
  • You should NOT rely on early-access services for decisions you cannot reverse
  • You MUST keep your own copies of briefs, questionnaires, and deliverables that matter to you

USE OF EARLY-ACCESS SERVICES FOR MISSION-CRITICAL OR IRREVERSIBLE BUSINESS DECISIONS IS STRONGLY DISCOURAGED AND IS AT YOUR SOLE RISK.

Disclaimer of Warranties

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including:

  • Merchantability and fitness for a particular purpose
  • Non-infringement of third-party rights
  • Accuracy, reliability, or completeness of data
  • Uninterrupted, error-free, or secure operation
  • Results obtained from using the Services
  • Stability or availability during early access
  • Data integrity or preservation during development and testing
  • Fitness for production or business-critical use during early access
  • Compatibility with any specific systems or workflows

AI-Generated Research Output

The study plan, the questionnaire, the conduct of the field, and the findings are produced by an AI research agent. Accordingly:

  • Output may contain errors, omissions, or misreadings of your brief
  • Findings describe the responses that were actually collected; they are not a guarantee about a wider population
  • Quality flags mark suspicious records for review; they are a signal for human judgment, not a warranty that flagged records are fraudulent or that unflagged records are sound
  • You are responsible for reviewing output before acting on it

No Professional Advice

Verbalab provides research tooling and research output but does NOT provide:

  • Legal advice
  • Tax advice
  • Medical or clinical advice
  • Financial planning or investment advice

Always consult with qualified professionals for business decisions.

Early Access Availability

During early access, we do not commit to:

  • Any uptime target
  • Any response time for support requests
  • Any service level agreement (SLA)
  • Any completion date, sample size, or field duration outside what is stated in the engagement terms for a study

Production SLAs will be established upon general availability (GA) launch.

11. Limitation of Liability

Maximum Liability

To the fullest extent permitted by law, Verbalab's total liability for any claims arising from or related to these Terms or the Services shall not exceed:

Standard Cap (After GA Launch): The total fees you paid to Verbalab in the 12 months preceding the claim.

Early Access Cap (Current): During early access, our maximum liability is limited to:

  • The fees you actually paid to Verbalab for the study giving rise to the claim (if any)
  • No minimum liability guarantee

What this means during early access:

  • If you paid no fees, we have no financial liability for any issues or damages
  • If you paid fees for a study, our liability for claims relating to that study is capped at those fees

Excluded Damages

In no event shall Verbalab be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Cost of procuring substitute services or commissioning a replacement study
  • Business interruption or downtime
  • Damage to reputation or goodwill
  • Decisions taken on the basis of study findings
  • Data loss or corruption (especially during early access)
  • Third-party claims arising from your use of the Services
  • Damages arising from unauthorized access to your account

Causes of Limitation

This limitation applies regardless of:

  • The legal theory (contract, tort, negligence, strict liability, or otherwise)
  • Whether we were advised of the possibility of such damages
  • Whether the remedy fails of its essential purpose

Exceptions

Some jurisdictions do not allow limitation of liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Gross negligence or willful misconduct

If you are a consumer in the EU/EEA, this clause does not affect your mandatory statutory rights.

Basis of the Bargain

You acknowledge that:

  • These limitations are fundamental elements of the agreement
  • We would not provide the Services on the current commercial terms without these limitations
  • These limitations apply even if a remedy fails of its essential purpose
  • During early access, the reduced financial liability reflects the experimental nature of the service

12. Indemnification

You agree to indemnify, defend, and hold harmless Verbalab, its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights (including intellectual property, privacy, or data protection rights)
  • Your Study Data, your brief, or any content you upload
  • Contact lists or sample context you supplied, including the lawful basis for supplying them
  • Your failure to comply with data protection laws as a data controller for data you supply
  • Claims by individuals on a list you supplied, or by other third parties whose data you process through Verbalab
  • Your use or publication of study findings
  • Your breach of the Acceptable Use Policy
  • Fraud or illegal activities conducted using your account

This indemnification obligation survives termination of these Terms.

13. Intellectual Property

Verbalab's IP Rights

All intellectual property in the Services, including but not limited to:

  • Source code, algorithms, and software architecture
  • User interface designs and layouts, including the interview surface
  • Trademarks, logos, and brand elements
  • Documentation, guides, and tutorials
  • The AI research agent, its models, and the research methodology it applies

...remains the exclusive property of Verbalab. These Terms do not grant you any ownership rights to our intellectual property.

Your License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Services for your research purposes
  • Use the findings and reports produced for your studies within your organization
  • Display Verbalab branding as necessary for using the Services

You may NOT:

  • Copy, modify, or create derivative works of the Services
  • Reverse engineer or decompile the software
  • Remove or alter any proprietary notices
  • Use our trademarks without prior written consent

Your IP Rights

You retain all intellectual property rights in your Study Data, including your brief. Rights in the deliverables prepared for a study, and any right to publish them externally, are as set out in the engagement terms agreed for that study. By using the Services, you grant Verbalab a limited license to use your data solely to provide the Services.

Feedback

If you provide feedback, suggestions, or ideas about the Services:

  • We may use them without obligation or compensation to you
  • You waive any intellectual property claims to such feedback
  • Your feedback becomes our property

14. Third-Party Services

Verbalab relies on third-party services to operate, including:

  • Cloud hosting and infrastructure providers
  • AI model providers used by the research agent
  • Email and messaging delivery providers used to send interview invitations
  • Sample sources arranged for a study, where applicable

Third-Party Terms

  • Each third-party service is subject to that party's own terms and privacy policies
  • We are not responsible for third-party services or their availability
  • You must comply with third-party terms where you interact with them through the Services
  • We may change or discontinue a third-party dependency at any time

Where you distribute interview links yourself, or through a sample source you arrange, you are responsible for how those links are distributed and for the lawfulness of that distribution.

API Usage

If you use our API or integrations:

  • You must comply with our API documentation and usage limits
  • We may revoke API access for violations or abuse
  • API terms may be subject to separate agreements

15. Termination

Termination by You

You may stop using the Services at any time by:

  • Closing your account from the customer panel at app.verbalab.ai
  • Contacting us at [email protected]

Upon termination by you:

  • A study already in the field ends as described in the engagement terms agreed for it
  • Amounts already due under agreed engagement terms remain payable
  • You may request an export of your Study Data before your account is closed

Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms or the Acceptable Use Policy
  • Amounts due under agreed engagement terms remain unpaid
  • We suspect fraudulent or illegal activity
  • We discontinue the Services (with reasonable notice)

Effect of Termination

Upon termination:

  • Your right to access the Services immediately ceases
  • You must pay any outstanding amounts
  • You may request an export of your Study Data within a reasonable period following termination
  • After that period, we may permanently delete your data, subject to the retention described in our Privacy Policy

Survival

The following sections survive termination:

  • Data Ownership
  • Intellectual Property
  • Limitation of Liability
  • Indemnification
  • Governing Law

16. Changes to Terms

Modification Rights

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last updated" date
  • We will notify you via email (if you have an account)
  • Material changes will require your acceptance upon next login

Acceptance of Changes

  • Continued use of the Services after changes constitutes acceptance
  • If you do not agree to the changes, you must stop using the Services
  • Changes to these Terms do not alter the engagement terms already agreed for a study in progress

Early Access Changes

During early access, these Terms may change more frequently to reflect:

  • New features and functionality
  • Improved legal protections
  • User feedback and regulatory requirements

This document is an early-access draft pending legal review and will be finalized before general availability.

17. Governing Law & Dispute Resolution

Governing Law

These Terms are governed by international law and the laws applicable in your jurisdiction.

Consumer Protection: If you are a consumer in the EU/EEA, you retain the protections afforded by mandatory consumer protection laws in your country of residence, and you may bring proceedings in your local courts.

Informal Resolution

Before filing a claim, you agree to contact us at [email protected] to attempt informal resolution of any dispute.

Class Action Waiver

To the extent permitted by law, you agree to resolve disputes on an individual basis and waive any right to participate in class actions.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, our Cookie Policy, and the engagement terms agreed for a study, constitute the entire agreement between you and Verbalab. If the engagement terms for a study conflict with these Terms on the scope, deliverables, or fees of that study, the engagement terms govern for that study.

Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to any successor or affiliate.

Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control (natural disasters, war, pandemics, government actions, etc.).

Language

These Terms are provided in English. Translations may be available for convenience, but the English version governs in case of conflict.
